Exhibit A — The Lucite Tradition

No. 01 · The Genesis Standard

Seven commitments, held without exception since July 2002.

Most investment banks answer to a balance sheet. We answer to a client. Genesis Capital was founded on a deliberately different model — an advisory firm with no lending arm, no trading desk and no proprietary products to sell — free to work for companies the way a founder would want: without conflict.

“Genesis Capital guided our family through a very complex process and delivered a fabulous result that exceeded our expectations.”

Marc Skalla — President, SASCO Chemical

Success doesn’t just happen. It is engineered.

Independent & Conflict-Free

Genesis Capital focuses on more than one industry and does not lend capital or trade securities — enabling the firm to work with companies entirely free of conflicts. Advice is the only product.

We work with companies of all sizes, having completed transactions ranging from over $1B to under $50M. The engagement is shaped by the need — never by the fee threshold.

Select success stories from family offices to corporate boardrooms. Each completed engagement is commemorated as a lucite tombstone — the tradition this firm has maintained since its first closing. Filter the archive, or open any block for the full record.

A Tradition We Maintain

The lucite-designed award encases the tombstone advertisement in lucite. Tombstone ads date back to the late 19th century, when they became the approved format for publicizing financial transactions. By the late 1960s, banks began celebrating each new partnership announcement by enclosing it in lucite — a custom Genesis Capital continues with every closing.

No. 03 · The Advisory Lab

Three instruments for
clearer judgment.

Interactive models that show — rather than tell — how an independent firm behaves differently.

Typical Conflicted Advisor Genesis · Independent & Conflict-Free

The Conflicted Model

When the advisor also sits across the table

  • Lends capital to your company — or to your likely acquirers
  • Trades securities in your sector for its own account
  • Sells proprietary research, products and financing bundles
  • Prioritizes engagements by fee size, not by fit
  • Advises competing bidders in parallel processes

The Genesis Model

Does not lend capital · does not trade securities

  • Advisory is the only business — no balance sheet to serve
  • No trading desk, no proprietary products, no cross-selling
  • Selective about engagements — focus where expertise maximizes your goals
  • Works companies of every size, from over $1B to under $50M
  • Senior attention at every stage of the process

No. 05 · Industry Experience Without Conflict

Six growth sectors.
One standard of counsel.

Diverse by design — deep enough to command the room, independent enough to owe the room nothing. Open a sector for its subsectors and representative engagements.

No. 06 · Engagements

A comprehensive range of services — selectively undertaken.

Genesis Capital is an independent investment merchant banking firm focused on the key growth sectors of the economy. We work with public and private corporations, as well as family-owned businesses, to achieve strategic growth initiatives and maximize shareholder value.

Because we are selective about the engagements we take, every mandate receives the full weight of the firm’s expertise and network — without size or geography constraints.
